1. Conclusion of contract

1.1 applicability of the general terms and conditions

These General Terms and Conditions ("T&Cs") apply to all agreements between Hale.Now Studios GmbH (the "Company") and its customers, unless otherwise agreed in an individual case. "Customers" means all persons who acquire or have acquired from the Company the right to make use of the appointment, course, and event offerings within the meaning of Section 2 ("Customers").

1.2 Conclusion of contract and booking

Contracts between the Company and Customers are concluded through offer and acceptance within the meaning of §§ 145 et seq.  BGB. Registration for, or booking of, courses, workshops, yoga retreats, yoga training and continuing-education programs offered by the Company, as well as appointments ("Health Tests") or other services and events ("Events"), constitutes a binding offer by the Customer to conclude a corresponding contract within the meaning of §145 BGB. Registration/booking may be made by e-mail, online form, or an on-site registration form, as well as via the sports marketplace platform bsport. Acceptance by the Company takes place through the sending of a booking, registration, or payment confirmation by e-mail (where applicable via bsport) or through signature of the contract. Participation in booked courses, appointments, or Events is excluded prior to payment of the full invoice amount, unless otherwise agreed. Confirmation of a place in a course or of an appointment only becomes binding once the respective fees have been paid in full.

2. Appointment, course and event offerings

2.1 Scope and implementation of Appointment, Course and event offering

The Company offers, in particular, individual and group sports courses at various levels of difficulty (HALE.GYM, Yoga, Pilates, Mat Fitness, Reformer Pilates), workshops, and yoga training and continuing-education programs. In addition, the Company's offering includes Health Tests: Health Test Single and Health Test Double – performance diagnostics by means of spiroergometry (treadmill, breathing mask measurement) to determine VO₂max, training heart-rate zones, anaerobic threshold, and maximum fat-burning capacity – as well as yoga retreats (collectively, the "Appointment, Course, and Event Offering"). To carry out the Appointment, Course, and Event Offering, the Company maintains several studios in Berlin. The Appointment, Course, and Event Offering is carried out in these studios or in premises specifically rented for this purpose.

2.2 Opening times and changes to Appointment, course and event offering

HALE.NOW's office and course hours ("Opening Hours") as well as the current Appointment, Course, and Event Offering are published on the Company's website (www.hale-now.com) and updated on an ongoing basis. The Company reserves the right to hold training and continuing-education programs, where necessary, in alternative rooms located within a distance reasonable for Customers from HALE.NOW. In this case, the relevant venue will be communicated to Customers no later than one week before the start of the event.

The Company further reserves the right to make necessary changes with regard to the opening hours of the HALE.NOW studios, the service, appointment, course, and event offering, as well as the instructors of the respective courses or training and continuing-education programs. Corresponding changes will be announced via the website www.hale-now.com and at the HALE.NOW studios.

Should fewer than five participants be registered for an individual event up to 14 days before its start, the Company reserves the right not to hold the affected event. Affected Customers will be informed by e-mail of the cancellation. In this case, the Company will, in coordination with the affected Customers, offer a free alternative booking for a corresponding event at the next available opportunity. Fees already paid will be credited toward the alternative booking. Should an affected Customer not wish to take up an alternative appointment, the fees paid will be refunded.

Furthermore, the Company reserves the right, for good cause (e.g., technical defect of the testing equipment, short-notice unavailability of the staff carrying out the test), to postpone an agreed appointment (Health Test). Affected Customers will be informed of this without delay by e-mail or telephone and will be offered a free replacement appointment at the next available opportunity. Fees already paid will be credited toward the replacement appointment. Should the Customer not wish a replacement appointment, the fees paid will be refunded.

The follow-up test included as part of the Health Test Double is not subject to any time limit and may be booked by the Customer at any time following the initial test. The entitlement to the follow-up test is personal and non-transferable to third parties, unless the Company expressly consents to a transfer in an individual case (e.g., pregnancy, permanent illness, or injury).

2.3 Memberships, Credit Packages, and Single Tickets

For booking the courses on offer, the Company provides monthly cards, credit cards ("Credit Packages"), and single tickets that entitle the holder to book and take part in courses at the HALE.NOW studios. Monthly cards are valid, from the time of first use, for a period of 31 days for booking the courses offered during that period. Depending on the membership, these commitments may be terminated monthly or after 12 months. Credit Packages are to be understood as multi-use tickets for booking individual courses lasting between 45 and 90 minutes. Individual courses may be booked using single tickets. Monthly cards and Credit Packages may not be used to book workshops, training and continuing-education events, yoga retreats, or Health Tests.

Monthly cards and Credit Packages are in principle personalized, valid for one person only, and non-transferable to third parties. By way of exception, Credit Packages are transferable to spouses/life partners and to children. For both monthly cards and Credit Packages, transferability may be possible in an individual case for special reasons (pregnancy, relocation, permanent illness, or injury) following prior consultation with the Company.

From the time of the first participation booked using a monthly card or Credit Package, monthly cards are valid for one (1) month and Credit Packages are valid for three (3) to twenty-four (24) months, depending on the size of the package purchased. Paid monthly and annual cards expire upon the lapse of their validity date. A refund of fees paid is excluded. The validity period of monthly cards and Credit Packages may be extended in special exceptional cases.

3. Prices, payment termin, off-set

3.1 Price list

Participation prices and fees, as well as information and details regarding the booking of the Appointment, Course, and Event Offering, are set out in the Company's current price list, which is available via the website www.hale-now.com and on site at the HALE.NOW studios.

3.2 Due date of fees

Unless otherwise agreed, participation prices and fees are due immediately upon conclusion of the contract or booking of the course/appointment.

3.3 Payment

Invoiced participation prices or fees may be paid by bank transfer to the Company's account specified on the invoice, or on site at the studios by debit card, credit card, PayPal, or voucher. In the case of an online booking via bsport, payment is possible using online payment systems (e.g., PayPal, instant bank transfer, etc.) or by credit card.

3.4 Discounts and promotions

Discounts, promotions, or other special offers are limited to the respective stated validity period. Promotional vouchers are only recognized upon submission of the original. Combining multiple discounts from different promotional or special offers within a single booking is excluded.

3.5 Set-off

A Customer is only entitled to set off claims where the Customer's counterclaims have been finally and conclusively established by a court, are undisputed, or have been acknowledged by the Company.

4. Non-participation, termination

4.1 Cancellation, missed attendance, non-Participation

It is noted that in the event of discontinuation, missed attendance, or other non-participation in booked appointments, courses, or events — in particular with regard to Health Tests, training, or continuing-education programs, including individual training modules — any claim to a refund of the participation price or event fee, or parts thereof, is excluded. A 12-hour cancellation period applies to course bookings. A cancellation within these 12 hours before the start of the course will not be refunded. A certificate of participation or completion will not be issued for training or continuing-education programs that have been started but not fully attended in the sense described above.

For booked Health Test appointments, a cancellation or rebooking period of 72 hours before the agreed appointment applies. A cancellation or rebooking within this period, as well as a failure to attend the appointment (no-show), entitles the Company to retain or invoice the full fee; in this case, there is no entitlement to a refund or to a free replacement appointment. In the event of cancellation or rebooking at least 72 hours before the appointment, the fee will be credited toward a new appointment.

4.2 Statutory Rights of Termination and Withdrawal

Any statutory rights of termination, withdrawal, and revocation to which Customers may be entitled (in particular the right of withdrawal in respect of contracts concluded away from business premises or at a distance) remain unaffected.

5. Liability

5.1

The Company, its legal representatives, or vicarious agents shall only be liable for damages where the damage is attributable to gross negligence or intent, or arises from the culpable breach of a material contractual obligation ("cardinal obligation") — i.e., an obligation the fulfillment of which is a precondition for the proper performance of the contract in the first place, or the breach of which jeopardizes the achievement of the purpose of the contract, and on the observance of which the contracting party may therefore regularly rely.

5.2

In all other respects, liability of the Company for damages — on whatever legal grounds — is excluded.

5.3

Where the Company is liable pursuant to Section 5.1 for the breach of a material contractual obligation without gross negligence or intent being present, liability shall be limited to the extent of damage that the Company had to typically anticipate at the time of conclusion of the contract, based on the circumstances known to it at that time.

5.4

The above limitations and exclusions of liability do not apply to culpable injury to life, body, or health, to claims under the German Product Liability Act, or in the case of a contractually agreed no-fault liability.

5.5

Customers are advised not to bring personal belongings or valuables into the HALE.NOW studios or other event premises. The Company assumes no responsibility for safeguarding such items or any other duty of care with regard to belongings or valuables brought onto the premises. The depositing of money, belongings, or valuables in lockers provided by the Company does not give rise to any obligations on the part of the Company with respect to the items deposited.

5.6

Participation in the Appointment, Course, and Event Offering should only take place if the Customer is in full health. In their own interest, the Company recommends that Customers discuss their intention to participate with a doctor — in particular in the case of special health issues such as physical ailments, prior surgeries, or problems during pregnancy — before taking part in the Company's events, and that they inform the instructor or presenter of any existing health limitations both at the time of registration and, where applicable, before the start of an event.

Health notice regarding the Health Test

The Health Test serves exclusively for sports-medical performance diagnostics and training management. It does not replace a medical examination or a medical diagnosis. The test involves physical exertion up to close to the individual's performance limit. Prior to the start of the test, the Customer confirms that they are not aware of any health reasons (in particular cardiovascular disease, acute infections, pregnancy, prior surgeries, or other physical limitations) that would preclude participation, and is asked, in their own interest, to have this clarified by a doctor beforehand and to inform the staff carrying out the test in advance of any existing health limitations. The Company reserves the right to refuse or discontinue the test in the event of recognizable health risks.

6. Copyright

6.1

It is noted that the copyright, or the exclusive rights of use, in all scripts and publications lie with the Company, and that any further use of any kind — in particular reproduction or disclosure to third parties — is prohibited, or expressly requires the Company's prior written consent.

6.2

Violations will be subject, in each individual case, to a flat-rate contractual penalty of EUR 3,500. Further claims for damages remain unaffected by this.

6.3

Course participants consent to photographs or video recordings made during the courses being used, without remuneration and without limitation as to time or place, in audiovisual or print media.

6.4

The PDF test report from the Health Test offered, together with the evaluations and training recommendations contained therein, is intended exclusively for the Customer's personal use. Reproduction or disclosure to third parties for commercial purposes is not permitted without the Company's prior written consent. Copyright and rights of use in the evaluation methods and materials used remain with the Company.

7. Data protection

The Company collects, transmits, processes, and stores personal data relating to the respective contracts to the extent and for as long as this is necessary for the establishment, performance, and processing of the contract, and for as long as the Company is required by statutory provisions to retain such data.

In connection with the Health Tests, the Company collects and processes personal data, including health data within the meaning of Article 9 GDPR (among other things, test results, heart-rate and respiratory values, and health-related information provided by the Customer). This data is processed exclusively for the purposes of carrying out, evaluating, and following up on the respective Health Test and for preparing the test report, and is stored only for as long as necessary for these purposes or as required by statutory retention obligations. The processing of health data takes place only on the basis of the Customer's express consent pursuant to Article 9(2)(a) GDPR, which is obtained separately prior to the test being carried out. Further details on data processing, on Customers' rights (including access, rectification, erasure, and withdrawal of consent), and on the processors engaged can be found in the Company's privacy policy at www.hale-now.com/datenschutz.

8. Final provisions

8.1

With the exception of training and continuing-education events and yoga retreats, the place of performance for all services is Berlin.

8.2

The exclusive place of jurisdiction for all disputes arising from the business relationship is Berlin. The mutual right to bring proceedings against the contracting party at its general place of jurisdiction remains unaffected.

8.3

The European Commission provides a platform for online out-of-court dispute resolution. Disputes may be submitted to the European Commission's online dispute resolution platform for settlement. Use of the site, which is managed by the European Commission, is free of charge. The platform is available to Customers where they have made an online purchase and are resident within the EU.

8.4

The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
